1. Agreement to Terms

These Terms and Conditions constitute a legally binding agreement between the user ("User" or "Merchant") and NXREVO Labs Pte. Ltd. ("RevoStock", "we", "us"), a company registered in Singapore. By accessing the RevoStock Inventory Planner or installing our Shopify application, you represent that you are at least 18 years of age and have the legal authority to bind your organization to these terms.

2. Description of Service

RevoStock provides a Software-as-a-Service (SaaS) platform utilizing AI & machine learning algorithms for:

  • Advanced demand forecasting and trend analysis
  • Stock replenishment planning
  • Automated inventory monitoring and low-stock alerts
  • Direct integration with Shopify data sources

To power these features, the Service reads your historical Shopify order data — including orders older than the default 60-day window (via the read_all_orders scope) — because seasonal demand forecasting and ABC classification require multiple years of sales history. This order history is used solely to derive aggregated, SKU-level demand signals; the Service does not extract or retain any end-consumer personal data from your orders. Please refer to our Privacy Policy for full details on the data we access and retain.

3. Subscription Tiers and Billing

3.1 Plans and Subscription

Access to the Service is subscription-based, with plans aligned to your organization's Shopify subscription tier (e.g., Shopify Basic, Growth, Advanced, or Plus) as shown at the time of installation or checkout. All plans grant full access to all features of the platform. Access to the Service is subject to a maximum capacity of 10,000 SKU variants per organization; usage beyond this threshold requires a custom Enterprise agreement.

3.2 Term and Auto-Renewal

Subscriptions renew automatically for successive terms equal to the expiring term (typically every 30 days) unless canceled in accordance with Section 12.

3.3 Billing and Platform Processing

Fees are collected through the Shopify Admin's native billing ecosystem. By selecting a plan, you authorize RevoStock (via Shopify's payment processors) to charge all applicable fees and taxes on the schedule stated in your Order. Billing is subject to Shopify's standard terms, and refunds typically follow Shopify's native processes unless specified otherwise in your Order.

3.4 Fees and Taxes

All fees are exclusive of taxes. The User is responsible for all applicable sales, use, VAT, GST (Goods and Services Tax), and similar taxes required by Singapore law or the laws of the User's jurisdiction. Fees are billed in USD unless stated otherwise in your Order or selected via the currency toggle on the Site.

3.5 Fee Changes

RevoStock reserves the right to change fees upon renewal. We will provide advance notice of any pricing adjustments as required by the Shopify Partner Program Agreement. Continued use of the Service after the effective date of a fee change constitutes acceptance of the new fees.

3.6 Refunds

Unless required by law or specified in your Order, all fees are non-refundable. RevoStock may, at its sole discretion, issue credits or refunds in exceptional circumstances.

4. Free Trial and Evaluation

We offer a 14-day Free Trial for all new Users to evaluate the Service.

  • Duration: The trial period lasts for 14 days from the date of app installation. No credit card is required.
  • "AS-IS" Warranty: The Free Trial is provided "AS-IS" and "AS-AVAILABLE" without any uptime or support commitments.
  • Conversion: At the end of the 14 days, the account will not automatically convert to a paid subscription; the User must explicitly select a plan.
  • Data Retention: If a User does not convert to a paid plan within 30 days post-trial, RevoStock reserves the right to delete all store data associated with the account.

5. Acceptable Use

The User agrees to utilize the Service solely for professional business operations and internal work-related purposes. The User shall not use the Service to facilitate, process, or manage inventory for any goods, materials, or substances that are illegal, unlawful, or unauthorized under the laws of the Republic of Singapore. Furthermore, the User agrees not to:

  • Bypass, probe, or circumvent any security measures or authentication protocols
  • Modify, decompile, or reverse engineer any part of the software
  • Access the Service in order to build a competitive product or service
  • Utilize Merchant or Customer Data (including derived or aggregated data) for the development or training of third-party AI or machine learning systems without explicit prior consent from RevoStock and Shopify

Any unauthorized access or modification of computer material may constitute an offense under the Singapore Computer Misuse Act 1993.

6. Prohibited Goods

Without limiting the generality of the foregoing, the User is expressly prohibited from utilizing the Service to manage inventory for, or otherwise facilitate the trade of, any items categorized as Prohibited Goods under Singapore law. These include, but are not limited to:

  • Controlled Drugs and Psychoactive Substances: Any dangerous or harmful drugs, including cannabis, cannabis mixtures, and psychoactive substances as defined under the Misuse of Drugs Act 1973 (MDA).
  • Firearms and Explosives: Any guns, arms, ammunition, or scheduled weapons (including throwing stars and flick knives) as defined under the Guns, Explosives and Weapons Control Act 2021 (GEWCA) and the Arms Offences Act 1973.
  • Prohibited Telecommunications: Scanning receivers, military communication equipment, and radio-communication jamming devices as regulated by the IMDA.
  • Restricted Imports: Imitation tobacco products (electronic cigarettes, vaporizers), shisha, and smokeless tobacco products.

7. Algorithmic Disclaimer and "Human-in-the-Loop"

The Service utilizes AI & machine learning to generate probabilistic business insights.

  • Probabilistic Nature: Forecasts are based on historical patterns and do not guarantee future accuracy.
  • Human Oversight: In accordance with the Singapore Model AI Governance Framework, the User is responsible for exercising "meaningful human accountability." Users must review and approve all purchase orders and inventory decisions.
  • Accuracy: RevoStock assumes no liability for stock-outs or overstock situations resulting from inaccurate forecasts or faulty User configurations.

8. Intellectual Property

8.1 The Platform

RevoStock retains all rights, title, and interest in the software, forecasting models, and algorithms.

8.2 User Data

You retain ownership of all data imported from Shopify. You grant RevoStock a non-exclusive license to process this data to provide the Service and improve our AI models.

8.3 Feedback

Customer grants RevoStock a worldwide, perpetual, irrevocable, royalty-free license to use, modify, distribute, and incorporate into the Service any suggestions or feedback provided by Customer. Customer waives any moral rights regarding such Feedback.

8.4 Marketing

Customer grants RevoStock a limited license to use Customer's name and logo on the RevoStock website for marketing and promotional purposes. Customer may opt out of such use at any time via email to our support team.

8.5 Output

Generated reports and replenishment plans are licensed to the User for internal business use only.

9. Indemnification

The User shall defend, indemnify, and hold harmless RevoStock and its affiliates, officers, directors, employees, and agents from and against any and all third-party claims, damages, obligations, losses, liabilities, costs, and expenses (including but not limited to reasonable legal fees) arising from:

  1. User Content: Any allegation that the data imported by the User (including customer and order data from Shopify) infringes the intellectual property, privacy, or proprietary rights of a third party;
  2. Breach of Terms: The User's violation of these Terms, the Acceptable Use policy, or any applicable Singapore laws or regulations;
  3. Third-Party Integrations: The User's breach of any third-party platform terms (including the Shopify Partner Program Agreement) or failures in the third-party systems the User connects to the Service;
  4. Misconduct: The User's gross negligence or willful misconduct in connection with their use of the Service.

Defense and Settlement: RevoStock will notify the User promptly of any such claim. RevoStock reserves the right to assume the exclusive defense and control of any matter subject to indemnification by the User, in which event the User will cooperate with RevoStock in asserting any available defenses. The User shall not settle any claim without RevoStock's prior written consent.

10. Disclaimers

10.1 "As Is" and "As Available"

THE SERVICES AND RELATED MATERIALS ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, RevoStock DISCLAIMS ALL WARRANTIES—EXPRESS, IMPLIED, OR STATUTORY—INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THE SERVICES WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED, OR THAT OUTPUTS (INCLUDING FORECASTS/RECOMMENDATIONS) WILL MEET YOUR REQUIREMENTS OR BE FREE FROM ERROR.

10.2 Forecasting Disclaimer

The Service utilizes AI & machine learning to generate probabilistic business insights based on historical patterns.

  • No Guarantee: RevoStock does not guarantee that forecasts, trend analyses, or purchasing suggestions will be accurate or achieve any specific business outcome.
  • Business Decisions: Customer is solely responsible for all purchasing decisions. RevoStock is not liable for lost profits, dead stock, missed sales, or overstock situations resulting from reliance on a forecast.

10.3 Beta Features

From time to time, RevoStock may invite Customer to try "Beta" or "Early Access" features. Customer acknowledges that these features may be unstable and are provided for evaluation only. RevoStock SHALL HAVE NO LIABILITY WHATSOEVER FOR ANY DAMAGES ARISING OUT OF CUSTOMER'S USE OF BETA FEATURES.

11. Security, Exports, and Backups

RevoStock implements industry-standard technical and organizational measures appropriate to the risk profile of the Service, including but not limited to 256-bit encryption in transit and at rest, strict internal access controls, and 24/7 security monitoring.

  • Data Exports: You may export your Customer Data via available product features at any time during your active subscription.
  • Disaster Recovery: We perform regular backups of the platform for disaster recovery purposes.
  • User Responsibility: The User remains solely responsible for maintaining local copies or independent exports of their data needed for their own business continuity, audit, or regulatory compliance requirements.

12. Term, Termination, and Force Majeure

12.1 Term

This Agreement continues until the subscription expires or is terminated in accordance with these Terms.

12.2 Termination

Either party may terminate this Agreement for material breach upon 30 days' prior written notice to the other party, provided such breach remains uncured at the end of the notice period. RevoStock may suspend or terminate access immediately without notice if we believe the User has violated the Acceptable Use or Prohibited Goods policies (Sections 5 and 6).

12.3 Force Majeure

Neither party shall be liable for any failure or delay in performance (excluding payment obligations) due to causes beyond its reasonable control, including but not limited to natural disasters (such as fire, flood, or earthquake), war, terrorism, strikes, failure of internet or telecommunications service providers, or outages of third-party cloud infrastructure providers (e.g., Google Cloud, Amazon Web Services).

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY SINGAPORE LAW:

  • RevoStock's TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE TOTAL FEES PAID BY THE USER IN THE SIX (6) MONTHS PRECEDING THE INCIDENT.
  • WE SHALL NOT BE LIABLE FOR INDIRECT, CONSEQUENTIAL, OR INCIDENTAL DAMAGES, INCLUDING LOST PROFITS, REVENUE, OR DATA, EVEN IF ADVISED OF THE POSSIBILITY.

14. Governing Law

These terms are governed by the laws of Singapore. Any disputes shall be subject to the exclusive jurisdiction of the Singapore courts.
